1. Agreement to Terms

By accessing or using Rebrew ("Service"), operated by BeeCanvas, Inc. ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

Rebrew is an AI-powered planning tool that helps users develop ideas into strategic plans. The Service uses artificial intelligence, including large language models provided by third-party providers, to generate direction options, build strategy canvases, and transform content into various formats.

3. Eligibility

You must be at least 13 years old to use the Service. If you are under 18, you must have permission from a parent or legal guardian. By using the Service, you represent that you meet these requirements.

4. Account Registration

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

We reserve the right to suspend or terminate accounts that violate these Terms.

5. User Content and Ownership

5.1 Your Content

"User Content" means any ideas, text, data, or materials you submit to the Service. You retain ownership of your User Content.

5.2 AI-Generated Content

Content generated by the Service ("Generated Content") based on your inputs is owned by you. You are responsible for reviewing, verifying, and legally using any Generated Content.

5.3 License to Us

By submitting User Content, you grant us a limited, non-exclusive, worldwide license to use, process, and store your content solely to provide and improve the Service. This license ends when you delete your content or account.

5.4 Anonymized Data

We may use anonymized, aggregated data derived from your usage to improve the Service, develop new features, and conduct research. This data cannot be used to identify you.

6. Credits and Payment

6.1 Credit System

The Service operates on a credit-based system. Credits are required for certain features including canvas generation and content transformation.

6.2 Expiration Policy

Subscription credits refresh each billing cycle and expire when your subscription ends or is not renewed. Purchased credit packs (one-time purchases) do not expire and remain in your account until used, unless your account is terminated for violation. All credit purchases are final.

6.3 Refunds

Refunds are available only if no credits have been used during the billing period. Once any credits are used, no refunds or partial refunds will be issued. Refund requests must be submitted within 7 days of purchase to support@rebrew.com.

7. Acceptable Use

You agree NOT to:

• Use the Service for unlawful purposes
• Generate infringing content
• Create harmful or abusive content
• Reverse engineer the source code
• Use the Service to build competing products
• Circumvent security features
• Misrepresent AI content as human-created
• Violate third-party privacy rights

8. Third-Party AI Providers

The Service uses AI models from third-party providers including but not limited to Anthropic and Google. Your use of the Service is also subject to these providers' terms and policies. We do not control these third-party services and are not responsible for their actions.

9. Intellectual Property

The Service, including its design, features, code, and branding, is owned by us and protected by intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works based on the Service without our written permission.

10. Disclaimers

No Professional Advice: The Service provides informational content only. Generated Content is NOT professional business, legal, financial, or other advice.

11. Limitation of Liability

To the maximum extent permitted by law, the Company shall not be liable for indirect, incidental, special, consequential, or punitive damages. Our total liability shall not exceed the amount you paid to us in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless the Company, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

13. Termination

We may suspend or terminate your access immediately, without prior notice, for any reason including violation of these Terms. Upon termination, your right to use the Service ceases.

15. Dispute Resolution

These Terms are governed by the laws of the State of California, United States. Any disputes shall be resolved through binding arbitration in San Francisco, California, except where prohibited by law. You agree to resolve disputes individually and waive any right to participate in class actions.
